By creating an account or using EquityDivorce (the "Service"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service.
You represent that you are at least 18 years old and legally able to enter into a binding agreement.
The Service provides tools for modeling restricted stock unit (RSU) grants, income, and related support and equitable-distribution calculations. It is provided for informational and planning purposes only.
The Service is operated by EquityDivorce. Features, calculations, and content may change without notice.
The Service is not a substitute for professional legal, tax, or financial advice. No attorney–client, accountant–client, or fiduciary relationship is created by your use of the Service.
Calculations produced by the Service (including support, equitable-distribution, and tax-related figures) are estimates based on the inputs you provide and the assumptions built into the Service. They may contain errors and may not reflect the law in your jurisdiction.
You must have any analysis independently reviewed by a qualified lawyer, CPA, or financial professional before relying on it for any decision, filing, settlement, or negotiation. You are solely responsible for decisions you make based on output from the Service.
Your data will not be provided to any outside parties other than those you explicitly link your account with (for example, a linked spouse, lawyer, or CPA).
If you have access to another user’s data through a link, you may not share, distribute, export, or otherwise disclose that data without prior authorization from the providing party.
Data is visible to site administrators solely for the purpose of debugging, security, and maintaining the Service. Administrators will not use or disclose your data for any other purpose.
When you delete your account or unlink another user, reasonable efforts will be made to remove your data from active systems, though backup copies may persist for a limited period.
You are responsible for the accuracy of any data you enter into the Service, including information about yourself and any other individual (such as a spouse).
By entering information about another person, you represent that you have the legal right to do so and that you will not use the Service to disclose, share, or distribute that information in violation of any law or agreement.
You agree not to input information that you are prohibited from sharing by court order, confidentiality agreement, or applicable privacy law.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify EquityDivorce immediately if you suspect unauthorized access to your account. You can do so via the Feedback page within the application.
The Service uses industry-standard security measures to protect your data, but no system can be guaranteed to be 100% secure. You acknowledge and accept the inherent risks of transmitting and storing information online.
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any account, system, or data; (c) reverse engineer, decompile, or attempt to extract source code; (d) scrape, crawl, or harvest data from the Service; (e) upload malicious code; (f) interfere with or disrupt the Service; or (g) use the Service to harass, defame, or harm another person.
The Service may suspend or terminate accounts that violate these rules.
The Service, including its software, design, text, graphics, and calculation methodology, is owned by EquityDivorce and is protected by copyright and other intellectual property laws.
You retain ownership of the data you input into the Service. You grant EquityDivorce a limited, non-exclusive license to process, store, and display that data solely to provide the Service to you and users you link with.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.
WITHOUT LIMITING THE FOREGOING, EquityDivorce DOES NOT WARRANT THAT CALCULATIONS PRODUCED BY THE SERVICE ARE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR LEGAL, TAX, OR FINANCIAL PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EquityDivorce AND ITS OWNERS, OPERATORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM: (a) ERRORS OR INACCURACIES IN ANY CALCULATION OR OUTPUT; (b) ANY UNAUTHORIZED ACCESS TO OR DISCLOSURE OF YOUR DATA; (c) ANY INTERRUPTION OR CESSATION OF THE SERVICE; (d) DECISIONS MADE OR SETTLEMENTS ENTERED INTO IN RELIANCE ON THE SERVICE; OR (e) CONDUCT OF OTHER USERS, INCLUDING LINKED SPOUSES OR PROFESSIONALS.
IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF EquityDivorce EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID TO USE THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (ii) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions the above limitations apply to the fullest extent permitted.
You agree to indemnify, defend, and hold harmless EquityDivorce and its owners, operators, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right, including the rights of any person whose information you entered into the Service; or (d) any dispute between you and another user, including a linked spouse or professional.
You may stop using the Service and delete your account at any time. Use the deletion link within the application or on the sign-in screen to request account deletion.
EquityDivorce may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms.
Sections relating to data use, intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
These Terms may be updated from time to time. When the Terms are updated, the version number will be incremented and you will be prompted to review and accept the updated Terms before continuing to use the Service.
Continued use of the Service after accepting updated Terms constitutes your agreement to those Terms.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
